Welcome to Professional Fleet Services. These Terms and Conditions ("Terms", "Agreement") govern your access to and use of our website, mobile applications, and the fleet maintenance, repair, and emergency roadside services we provide (collectively, the "Services").

By accessing our website or utilizing our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access the website or use our Services.

1. General Provisions & Acceptance of Terms

By initiating a service request, signing an estimate, or browsing our website, you (the "Client", "Customer", or "User") acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Services

Professional Fleet Services provides commercial vehicle maintenance, mechanical repair, preventative maintenance, and 24/7 emergency roadside assistance.

  • Service Availability: While we strive to provide 24/7 emergency services, response times may vary based on weather conditions, traffic, parts availability, and technician dispatch volume.
  • Right to Refuse: We reserve the right to refuse service to anyone, at any time, for any reason, including but not limited to unsafe working conditions or past non-payment.

3. Estimates, Approvals, and Billing

Transparency in billing and repair scopes is a priority for Professional Fleet Services. Our billing processes are governed by the following rules:

  • Estimates: Prior to beginning non-emergency repairs, an estimate of labor and parts will be provided. The final invoice may vary slightly due to unforeseen complications discovered during the repair process. We will seek secondary approval if repair costs exceed the original estimate by more than 10%.
  • Emergency Call-Out Fees: 24/7 emergency roadside assistance is subject to minimum call-out fees, mileage charges, and premium after-hours labor rates, which will be communicated at the time of dispatch.
  • Payment Terms: Unless a pre-approved corporate billing account has been established, all payments are due immediately upon the completion of service. We accept major credit cards, fleet checks, and authorized corporate purchase orders.
  • Lien Rights: Under applicable state law, Professional Fleet Services retains a mechanic's lien on any vehicle for which services have been rendered until full payment has been received.

4. Warranties and Guarantees

We stand behind the quality of our workmanship. Professional Fleet Services provides a limited warranty on repairs performed by our technicians:

  • Labor: All labor is warranted for a period of 90 days from the date of service, unless otherwise specified in writing.
  • Parts: Parts installed by our technicians are subject to the original equipment manufacturer's (OEM) or supplier's warranties. We will assist in facilitating part warranty claims, but we do not independently warranty third-party parts.
  • Exclusions: Warranties are voided in the event of tampering, abuse, improper subsequent maintenance, or involvement in an accident following our repairs.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Professional Fleet Services, its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, downtime, lost loads, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services;
  • Any conduct or content of any third party on the Services;
  • Any unauthorized access, use or alteration of your transmissions or content.

Our total liability for any claims arising out of these Terms or our Services shall not exceed the amount you paid us for the specific Service giving rise to the claim.

6. Indemnification

You agree to defend, indemnify and hold harmless Professional Fleet Services and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

7. Website Use and Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Professional Fleet Services and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Professional Fleet Services.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State in which the service was rendered, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

9. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
